Terms of Use and Sale
These terms cover use of the Lab Manufacturers China website and the general basis on which quotations and orders for laboratory equipment are made. Catalogue data is for orientation, contracts are formed only on written confirmation, and warranty, liability and governing law are set in each contract. This draft requires legal review.
Who do these terms apply to?
These terms apply to your use of this website and to quotations and orders for laboratory equipment made by Lab Manufacturers China, owner: Lab Manufacturers China, address: Guangzhou, China ("Lab Manufacturers China", "we"). The site is intended for business buyers. By using the site, you confirm that you are acting for a business or institution and accept these terms.
A signed sales contract, proforma invoice or written order confirmation may contain additional or different terms. Where those documents conflict with these terms, the signed contract governs. This policy is a draft and requires review by qualified legal counsel before publication.
How reliable is the website content?
Product pages, specifications, standards references and selection guides are provided for general information. Specifications are typical values and may change with design improvements, components or production batches. They are not a guarantee of performance unless repeated in a signed quotation or contract.
Nothing on the site is a claim that a product holds a particular certification. Certifications are shown as {Certification — to be confirmed} until documents are provided. You should verify any certificate, test report or compliance statement against the document before relying on it.
Articles and guides are educational and do not replace the advice of a qualified person, the text of the cited standard, or your own risk assessment. We try to keep the site accurate but do not warrant that it is complete, current or free of errors.
How do quotations and orders work?
A quotation is an invitation to order, not a binding offer, unless it states otherwise, and it is valid for the period stated in it. Prices are not shown on the website and are provided in quotations, together with currency, trade terms (Incoterms), payment terms, lead time and validity.
A contract is formed only when we confirm your order in writing, for example by a signed sales contract or proforma invoice, and, where agreed, receive the deposit. Changes to specification, quantity or delivery date after confirmation must be agreed in writing and may change price and lead time.
Unless agreed otherwise, taxes, customs duties, import licences and registration costs in the destination country are the buyer's responsibility. The buyer is responsible for ensuring that the equipment is suitable for its intended use, that the site meets the installation requirements, and that it may lawfully import and use the equipment.
What about delivery, title and inspection?
Delivery dates are estimates unless stated as firm in the contract. Risk passes according to the Incoterm agreed in the contract. Title to the goods passes on full payment, unless the contract states otherwise.
The buyer should inspect goods on arrival, photograph any damage to packaging and equipment, and notify us in writing within the period stated in the contract, normally within a short period after delivery. Claims for transport damage may need to be made against the carrier or insurer, and we will assist with documents.
We are not liable for delay caused by events beyond our reasonable control, including natural events, government action, export or import restrictions, strikes, transport disruption, or supplier failure. We will tell you promptly and agree a revised schedule.
What warranty applies?
Warranty terms are stated in the quotation and contract, including the warranty period, what is covered and the remedy. In general, we undertake to repair or replace parts that prove defective in materials or workmanship under normal use within the warranty period, or to provide another agreed remedy.
The warranty does not cover consumables such as lamps, filters, seals, electrodes, tubing and glassware, normal wear, damage from misuse, unauthorized modification or repair, incorrect installation or power supply, lack of maintenance, corrosion caused by unsuitable samples or reagents, or transport damage. Return of goods and refunds are handled under our refund and returns policy.
Warranty remedies are the buyer's exclusive remedy for defects, to the extent the law allows.
What are the limits of liability, and which law applies?
To the extent permitted by law, we are not liable for indirect or consequential loss, such as loss of profit, loss of data, loss of samples or research time, or business interruption, and our total liability for a claim is limited to the price paid for the goods concerned. Nothing in these terms excludes liability that cannot be excluded by law, such as for fraud or death or personal injury caused by negligence.
The equipment must be operated by trained personnel following the manual, local safety rules and applicable standards. The buyer is responsible for installation safety, qualification and routine calibration.
You may not copy, scrape or republish the site content for commercial use without permission. Trademarks and logos remain with their owners. These terms are governed by the law stated in the sales contract; if none is stated, by the laws of {Governing law — to be confirmed}, and disputes are resolved as agreed in the contract. We may update these terms, and the version in force is the one on this page. This policy is a draft and requires review by qualified legal counsel before publication.
